Cobra Commander a few panels later asks Munitia what she thinks about VENOMs current operation, since Cobra Commander is thinking of obtaining them as a division in Cobra. Munitia says they do good work. (At the end of the comic, there is a profile for Matt Trakker that states VENOM was absorbed into Cobra.)
Since I don't think there is any other official word any where about Cobra, I think we can safely say that in the Joe Universe that VENOM started out as it's own entity and was later absorbed into Cobra.
The same comic profile also states that M.A.S.K. joined with G.I.Joe implying they too were at one time a seperate entity in the Joeverse.
As for the origins of Miles Mayhem and VENOM, most sources state that it was Miles Mayhem that founded the organization that would become MASK before his turn to evil. (The UK comic, US mini comic, and the cartoon episode "For One Shining Moment" all seem to reference this fact.)

Personally after seeing my first GI Joe cartoon two days ago I think I know why, in universe, we don't see Mayhem at the main Cobra headquarters. Its because he probably is wary about being around Cobra Commander, he may end up costing him his life over say stealing a giant laser that could be used to kill GI. Joe but instead is used to carved his face into the moon with it. This must have been one of those incidents that broke the camels back before Serpentor was created. Destro was shocked as hell when Cobra Commander showed him what he did with that laser.

VENOM for the most part does not have members back stabbing each other. After seeing a couple episodes of GIJoe I have come to the realization that most of the higher ups are backstabbers lol Zaratn cloaking and leaving troops behind to be captured,same with Major Blood, the Baroness fighting Cobra Commander over who will escape in a helicopter, and with them being locked in combat she tells Lady Jay she would prefer Lady Jay getting the helicopter over Cobra Commander.
I am sure this prob doesn't happen all the time otherwise Cobra would have collapsed a long time ago.
I am sure Mayhem respects Cobra Commander out of fear of being killed and that is one of his motivations for stealing so much gold currency, and other super tech and weapons. He doesn't want to draw too-much negative attention his way.
